The Programme

These Affiliate Terms govern participation in the Result To Care affiliate programme, operated by Crafts and Clicks Technology Ltd. As an affiliate you introduce patients to the Platform and recruit healthcare professionals to it, and you earn commission where those introductions result in completed, paid services. These Terms are in addition to the Terms of Use. Where they conflict on a matter of the affiliate relationship, these Terms prevail. You are an independent contractor. Nothing here creates employment, partnership or agency. You may not hold yourself out as an employee or agent of Crafts and Clicks Technology Ltd, or make any commitment on its behalf.

Registration and Your Referral Code

To take part you must register as an affiliate, provide accurate identity and contact details, provide bank account details in your own name for payouts, and be legally able to enter this agreement. You create a unique referral code. It identifies you and it is yours alone. • Attribution happens when someone enters your code at registration. A signup with no code, or with somebody else's, is not yours. • Attribution is to the account, not to the transaction. Once a user is attributed to you, their eligible completed transactions earn you commission for as long as the referral remains active. • You may not use another affiliate's code, share yours in a way designed to mislead, or attempt to re-attribute an existing user to yourself. • We may deactivate a referral where it was obtained in breach of these Terms, and an administrator may end a referral relationship. Entering a referral code creates an attribution. It does not create an earning for the person who entered it — see 'No Patient Earnings Scheme' below.

How Commission Is Calculated

There are two kinds of affiliate commission, and they are calculated on different bases. Patient referral — 5% of the gross service fee Where you referred the patient, you earn 5% of the gross fee for their eligible completed transactions. Provider referral — 10% of the provider's earning Where you recruited the healthcare professional, you earn 10% of that professional's earning on their eligible completed services. Note the base carefully. A provider's earning is their share of the service price after the Platform's commission — so 10% of a 50% share is 5% of the service price, not 10% of it. Both may apply If you referred both the patient and the provider on the same service, you earn both commissions on that service. They are recorded separately and reported separately. Both referral commissions are paid out of the Platform's own share. A provider who was recruited by an affiliate earns exactly what a provider who was not would earn on the same service, and a patient who was referred pays exactly what an unreferred patient pays.

What Earns Commission, and What Does Not

Eligible: • Doctor consultations — general, specialist, direct and private — that are paid for and completed. • Provider services — home visits, emergency support, home nursing and other care — that are paid for and completed. Not eligible: • Laboratory result interpretation. No affiliate commission is earned on interpretation of lab results, of any kind. • Any transaction that is refunded, reversed or charged back. • Any transaction that is paid for but never completed. • Your own transactions. You may not earn commission on services you purchase yourself, or on an account you control. • The Verification Fee, which is a cost of identity checks and is not a service fee. When commission is earned Commission is earned when a service is completed, not when it is paid for. A booking that is cancelled or refunded before completion earns nobody a commission; where a cancellation fee is retained under the Cancellation Policy, commission is calculated on the retained amount only. Nothing is earned twice. Every entry is recorded against the payment reference and the commission type, so a duplicated payment event credits once. Where a service is refunded after commission has been recorded, the entry is reversed. Reversals are recorded rather than deleted, and appear in your statement as a reduction.

No Patient Earnings Scheme

Result To Care does not operate a patient referral scheme. Patients do not earn commission, credit or payouts for introducing other patients.

To avoid a misunderstanding that the wording invites: "Patient referral" describes an affiliate earning commission for introducing a patient. It does not describe a patient earning anything. Result To Care does not operate a patient referral scheme, a patient rewards scheme, or any arrangement under which a patient earns commission, credit or payouts for introducing other patients. A patient who enters a referral code at registration is attributing their signup to an affiliate. They earn nothing by doing so, and they pay no more and no less than a patient who entered no code.

Statements and Payouts

Your dashboard shows your earnings, separated by referral type, and by where each entry stands: • Pending settlement — earned, but the settlement period has not closed. • Available for withdrawal — settled and payable. • Withdrawal requested — you have asked for it. • Paid — remitted to your account. Payouts are made to the bank account registered in your name. We do not pay to a third party's account. We may withhold a payout while a transaction is under review, a chargeback is open, or where we are investigating a suspected breach of these Terms. We will tell you when we do, and why. Commission that was reversed after being paid to you may be recovered against future earnings. Any tax arising on your earnings is your responsibility.

Prohibited Conduct

You must not: • Make false or exaggerated claims about the Platform, its professionals, its prices, or clinical outcomes. • Present yourself as a healthcare professional, or give medical advice of any kind. • Represent yourself as an employee or agent of Crafts and Clicks Technology Ltd, or speak on its behalf. • Use spam — unsolicited bulk email, SMS or messaging — to distribute your code. • Bid on our brand name in paid search, or run advertising that implies you are us. • Create accounts, or induce others to create accounts, in order to generate commission on transactions that are not genuine. • Attribute a user to yourself who found the Platform independently, or re-attribute an existing user. • Use your own code, or a code you control, on your own purchases. • Offer to share your commission with a patient as an inducement to book care. Care decisions must not be bought. • Collect or process personal or health information from prospective users. Refer them to the Platform and let them register themselves. • Breach any applicable law, including advertising, data protection and healthcare marketing rules. Fraud prevention We monitor for patterns consistent with fraudulent attribution — accounts created in bulk, self-dealing, transactions that are paid and immediately refunded, and mismatched identity or payment details. Where we reasonably believe commission was generated fraudulently, we may withhold it, reverse it, recover what has been paid, suspend or terminate your participation, and where appropriate report the matter.

Suspension and Termination

You may leave the programme at any time by telling us at support@resulttocare.com. Commission properly earned before you leave remains payable, subject to any review in progress. We may suspend or terminate your participation where you breach these Terms, where we reasonably suspect fraud, where your conduct risks harm to patients or to the Platform's standing, or where required by law. On termination: • Your referral code stops attributing new signups. • Existing referrals stop earning further commission from the date of termination. • Commission properly earned before termination is paid in the ordinary course, unless it is the subject of a fraud investigation. • Where termination was for fraud, unpaid commission on the affected transactions is forfeited. We may also change the commission rates or the programme's structure. We will give you notice before a change takes effect, and a change does not apply retrospectively to commission already earned.

Confidentiality, Liability and Law

You may learn things about the Platform that are not public. Do not disclose them. You will not, in any circumstances, receive patient health information through this programme, and you must not seek it. To the fullest extent permitted by law, Crafts and Clicks Technology Ltd's total liability to you under these Terms is limited to the commission properly payable to you at the time the claim arose. We are not liable for lost opportunity or anticipated earnings. You indemnify Crafts and Clicks Technology Ltd against claims arising from your marketing, your representations about the Platform, or your breach of these Terms. These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction.
